These Terms of Service (“Terms”) govern your access to and use of PromptCrew, including our websites, applications, AI features, community features, integrations, and related services (collectively, the “Services”).

PromptCrew is a service operated by LevelPoint, LLC (“PromptCrew,” “we,” “us,” or “our”).

By creating an account, accessing, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of a company, employer, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, “you” includes that organization where applicable.

1. Eligibility

You must be at least 18 years old to use PromptCrew.

You may not use the Services if you are prohibited from doing so under applicable law.

If you create or administer an account for an organization, you represent that you are authorized to do so.

2. Accounts

You may need an account to access some or all of the Services.

You agree to provide accurate information and to keep your account information current.

You are responsible for:

  • Maintaining the confidentiality of your credentials;
  • Activity occurring through your account;
  • Using reasonable measures to protect your account;
  • Promptly notifying us if you believe your account has been compromised.

You may not share account credentials in a manner that circumvents applicable seat, licensing, or account restrictions.

PromptCrew may offer different account types, plans, permissions, and access levels.

3. Organizations, Teams, and Administrators

PromptCrew allows users to create or join organizations, teams, Projects, and shared workspaces.

If your account is associated with an organization, authorized administrators may be able to:

  • Add or remove users;
  • Manage roles and permissions;
  • Configure organization settings;
  • Manage subscriptions and licenses;
  • Access organization-level content;
  • Manage shared capabilities, Knowledge, and Projects;
  • View certain activity or usage information.

Content created or stored within an organization’s workspace may remain under the control of that organization even if an individual user’s relationship with the organization ends.

If you join an organization using an account that previously contained individual content, you are responsible for understanding what content may become accessible to or controlled by that organization.

4. The PromptCrew Service

PromptCrew helps users create, discover, organize, improve, share, and use AI-related capabilities and supporting information.

Depending on the features available to you, the Services may allow you to:

  • Create prompts, skills, agents, and other AI capabilities;
  • Store and organize Knowledge and reference materials;
  • Search for existing capabilities and Knowledge;
  • Use AI to recommend, improve, or create capabilities;
  • Execute capabilities;
  • Share capabilities with teammates or organizations;
  • Publish content to community areas;
  • Organize content into Projects;
  • Connect PromptCrew to third-party AI tools and services;
  • Export or use capabilities outside of PromptCrew;
  • Collaborate with other users.

Features may change, be added, removed, limited, or made available only under certain plans.

5. License to Use PromptCrew

Subject to these Terms, PromptCrew grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for your internal personal or business purposes.

This license does not give you ownership of PromptCrew or any PromptCrew technology.

Except where permitted by law or expressly authorized by PromptCrew, you may not:

  • Copy or redistribute substantial portions of the Services;
  • Reverse engineer or attempt to derive source code from the Services;
  • Circumvent security, authentication, usage, or access controls;
  • Sell, sublicense, rent, or commercially resell access to the Services;
  • Use automated means to access the Services in a manner that materially burdens or disrupts them;
  • Use PromptCrew intellectual property to create a confusingly similar product or service.

6. Customer Content

“Customer Content” means content that you or your organization submits, uploads, creates, stores, connects, or otherwise provides through the Services.

Customer Content may include:

  • Prompts;
  • Skills;
  • Agents;
  • AI capabilities;
  • Instructions;
  • Knowledge;
  • Documents and files;
  • Examples;
  • Policies;
  • Templates;
  • Reference data;
  • Scripts and tools;
  • Projects;
  • Tags and metadata;
  • Comments;
  • AI inputs;
  • Other materials provided by users.

You Retain Ownership

As between you and PromptCrew, you retain ownership of your Customer Content, subject to any rights held by third parties and applicable law.

PromptCrew does not acquire ownership of your private Customer Content merely because you upload or create it through the Services.

License to PromptCrew

You grant PromptCrew a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, format, modify as technically necessary, and otherwise use Customer Content only as reasonably necessary to provide, operate, secure, maintain, and improve the Services; comply with your instructions; enforce these Terms; or comply with applicable law.

This license also allows us to provide Customer Content to service providers acting on our behalf where reasonably necessary to operate the Services.

Your Responsibilities

You represent and warrant that:

  • You have the rights and permissions necessary to provide Customer Content to PromptCrew;
  • Your Customer Content and use of it through PromptCrew do not violate applicable law or third-party rights;
  • You have obtained any required permissions to process personal, confidential, proprietary, or organizational information you provide.

Do not upload information that you are prohibited from providing to PromptCrew.

7. Community and Public Content

PromptCrew may allow users to publish capabilities or other materials to a community, marketplace, public library, or other area accessible to users outside their organization.

Content you intentionally make public through these features is referred to as “Community Content.”

You retain any ownership rights you have in Community Content.

However, because PromptCrew’s community features are designed to allow others to discover, use, copy, adapt, and build upon shared capabilities, you grant PromptCrew a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, reproduce, display, distribute, make available, format, adapt, and otherwise use Community Content as necessary to operate and promote those community features.

You also grant other PromptCrew users a non-exclusive, worldwide, royalty-free license to access, use, copy, modify, adapt, and create derivative versions of Community Content you intentionally publish for reuse through the Services, subject to these Terms and any additional restrictions clearly identified within the Services.

Do not publish confidential, proprietary, personal, or sensitive information as Community Content unless you have the right and intention to allow others to access and reuse it.

Removing Community Content may stop future distribution through PromptCrew, but copies previously created, saved, cloned, exported, or adapted by other users may continue to exist.

PromptCrew does not endorse Community Content and does not guarantee that it is accurate, safe, lawful, appropriate, or suitable for your purposes.

8. Artificial Intelligence Features

PromptCrew uses artificial intelligence and may rely on third-party AI providers to provide certain features.

When you use AI-powered functionality, PromptCrew may provide relevant inputs, Customer Content, Knowledge, files, conversation context, or other information to an AI provider as necessary to fulfill your request.

PromptCrew currently uses third-party AI providers, including OpenAI, and may add, remove, or change providers over time.

Our handling of Customer Content and personal information in connection with AI features is further described in our Privacy Policy.

AI Outputs

AI-generated responses, recommendations, capabilities, text, code, analyses, or other materials are referred to as “Outputs.”

As between you and PromptCrew, and to the extent permitted by applicable law and applicable third-party provider terms, you may use Outputs generated for you through the Services.

AI systems may produce the same or similar Outputs for different users. Outputs generated for you may therefore not be unique.

PromptCrew does not represent or warrant that an Output is eligible for copyright, trademark, patent, trade-secret, or other intellectual-property protection.

Human Review

Artificial intelligence can produce incomplete, inaccurate, misleading, offensive, outdated, or otherwise inappropriate results.

You are responsible for reviewing Outputs before relying on or using them.

You should not rely solely on AI-generated Outputs when making decisions that could materially affect a person’s rights, safety, employment, finances, health, legal interests, or other significant interests.

PromptCrew is not a substitute for qualified professional advice.

9. Knowledge, Files, and Connected Data

PromptCrew may allow you to upload files, attach Knowledge, provide reference information, or connect third-party data sources.

You control what information you choose to provide or connect.

You are responsible for ensuring that you have permission to use that information with PromptCrew.

PromptCrew may process connected information as necessary to:

  • Search and retrieve relevant material;
  • Provide context to AI systems;
  • Generate or execute capabilities;
  • Fulfill requests you initiate;
  • Provide other functionality you select.

10. Third-Party Services and Integrations

PromptCrew may interoperate with third-party applications, websites, APIs, AI providers, platforms, software, or services.

Your use of a third-party service may be subject to that provider’s own terms, privacy policy, usage limits, fees, and restrictions.

PromptCrew does not control third-party services and is not responsible for their:

  • Availability;
  • Security;
  • Accuracy;
  • Content;
  • Performance;
  • Changes;
  • Data practices.

If you export, connect, or use a PromptCrew capability in another AI tool or platform, your use of that third-party service is governed by its terms.

We may change, suspend, or discontinue an integration if the relevant third-party service changes or becomes unavailable.

11. Acceptable Use

You may not use PromptCrew to:

  • Violate any applicable law or regulation;
  • Infringe or misappropriate another person’s intellectual-property, privacy, publicity, confidentiality, or other rights;
  • Upload, distribute, or facilitate malware, malicious code, ransomware, viruses, or other harmful software;
  • Gain or attempt to gain unauthorized access to systems, accounts, networks, or data;
  • Interfere with or disrupt PromptCrew or another service;
  • Circumvent rate limits, authentication, security measures, usage controls, or plan restrictions;
  • Engage in fraud, impersonation, deception, phishing, spam, or abusive activity;
  • Harass, threaten, stalk, exploit, or harm another person;
  • Use the Services to facilitate unlawful discrimination;
  • Use PromptCrew to create, distribute, or facilitate unlawful content;
  • Collect personal information about others unlawfully;
  • Test or probe PromptCrew for vulnerabilities without authorization;
  • Use PromptCrew in a way that creates unreasonable risk to PromptCrew, our users, or third parties.

You may not use automated systems to scrape or extract substantial portions of PromptCrew’s proprietary content, Community, or databases except where PromptCrew expressly permits such access.

PromptCrew may investigate suspected violations and take appropriate action.

12. Fees, Subscriptions, and Billing

Some features are free and others require payment.

Prices, included usage, seat limits, features, and billing periods are described when you purchase a plan or otherwise agree to commercial terms.

Recurring Subscriptions

If you purchase a recurring subscription, you authorize PromptCrew and our payment processor to charge the applicable fees and taxes according to the billing period presented at purchase until the subscription is canceled.

Subscriptions may automatically renew unless canceled before the applicable renewal date.

You may cancel using the cancellation method made available through the Services or by contacting support@promptcrew.io.

Unless otherwise stated at purchase or required by law, cancellation takes effect at the end of the then-current paid billing period.

Fees and Refunds

Fees are due as presented at purchase.

Except where required by law or expressly stated otherwise, payments are non-refundable and unused subscription periods, seats, credits, or usage do not create a right to a refund.

We may change pricing or plan features prospectively. Where required, we will provide notice before a pricing change applies to an existing recurring subscription.

Taxes

Fees may exclude applicable taxes.

You are responsible for taxes associated with your purchase except taxes imposed on PromptCrew’s income.

13. Free Plans, Trials, Promotions, and Founder Programs

PromptCrew may offer free plans, trials, promotional access, credits, discounts, Founder or Founders Programs, or other special programs.

Eligibility, duration, included seats, features, pricing, and other conditions may be described in the applicable offer, application, acceptance communication, or program materials.

Promotional access:

  • May be limited in duration;
  • May have usage or seat limits;
  • May not be transferable;
  • May be modified or discontinued where permitted;
  • Does not guarantee future access to the same plan, features, or pricing.

Unless expressly stated otherwise, participation in a promotional program does not require you to purchase PromptCrew after the promotional period ends.

If separate written program terms conflict with these Terms, the more specific program terms govern with respect to that program.

14. Confidential and Non-Public Customer Content

PromptCrew recognizes that users may provide non-public business information through the Services.

We will not intentionally make private Customer Content publicly available except:

  • At your direction;
  • According to permissions you or your organization configure;
  • As reasonably necessary to provide the Services;
  • To service providers acting on our behalf;
  • To investigate security, fraud, abuse, or violations;
  • As required by law or legal process;
  • As otherwise described in our Privacy Policy.

You are responsible for properly configuring sharing and permission settings.

Content you intentionally publish to the Community or otherwise make public is not considered private Customer Content.

15. PromptCrew Intellectual Property

PromptCrew and its licensors retain all rights, title, and interest in and to the Services and PromptCrew technology, including:

  • Software;
  • Source code;
  • User interfaces;
  • Designs;
  • Branding;
  • Logos;
  • Documentation;
  • Algorithms;
  • Service architecture;
  • Proprietary models or workflows;
  • Databases and compilations;
  • Features and functionality.

These Terms do not transfer ownership of PromptCrew intellectual property to you.

“PromptCrew,” our logos, and related branding may be trademarks of LevelPoint, LLC or its affiliates and may not be used in a manner that implies sponsorship or endorsement without permission.

16. Feedback

We welcome feedback, ideas, suggestions, feature requests, and recommendations about PromptCrew.

If you provide Feedback, you grant PromptCrew a perpetual, irrevocable, worldwide, royalty-free right to use, reproduce, modify, incorporate, commercialize, and otherwise use that Feedback without restriction or compensation to you.

Feedback does not include your private Customer Content merely because you use the Services.

PromptCrew respects the intellectual property rights of others and expects users of the Services to do the same.

If you believe that content available through the Services infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (“DMCA”) to our designated copyright agent.

A valid DMCA notice should include:

  1. A physical or electronic signature of the copyright owner or a person authorized to act on the copyright owner’s behalf;
  2. Identification of the copyrighted work claimed to have been infringed or, if multiple works are covered by the notice, a representative list of those works;
  3. Identification of the material claimed to be infringing and information reasonably sufficient for PromptCrew to locate the material;
  4. Your name, address, telephone number, and email address;
  5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
  6. A statement that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on behalf of the copyright owner.

PromptCrew may remove or disable access to material that we believe infringes intellectual property rights or that is the subject of a valid infringement notice.

Counter-Notifications

If you believe that content you submitted was removed or disabled as a result of mistake or misidentification, you may submit a counter-notification to our designated copyright agent.

A counter-notification should include:

  1. Your physical or electronic signature;
  2. Identification of the material that was removed or disabled and the location where it appeared before removal or disabling;
  3. A statement under penalty of perjury that you have a good-faith belief that the material was removed or disabled as a result of mistake or misidentification;
  4. Your name, address, and telephone number; and
  5. A statement consenting to the jurisdiction required by applicable law and agreeing to accept service of process from the person who submitted the original infringement notice or their agent.

When appropriate, PromptCrew may restore removed material following receipt of a valid counter-notification in accordance with applicable law.

Repeat Infringers

PromptCrew maintains a policy of terminating, in appropriate circumstances, users or account holders who are repeat infringers.

We may also restrict, suspend, or terminate accounts that repeatedly violate the intellectual property rights of others, regardless of whether each violation results in a formal DMCA notice.

Submitting knowingly false or materially misleading infringement notices or counter-notifications may result in liability under applicable law.

18. Beta, Experimental, and Early-Access Features

PromptCrew is an evolving product. We may make beta, preview, experimental, early-access, or otherwise unreleased functionality available from time to time.

These features may:

  • Be incomplete or contain errors;
  • Change materially without notice;
  • Be unavailable or discontinued at any time;
  • Have different security, reliability, performance, or support characteristics from generally available features; or
  • Produce unexpected results.

You use beta, experimental, and early-access features at your own risk.

Unless we expressly agree otherwise in writing, we are not obligated to continue offering any beta, experimental, or early-access feature or to incorporate it into a generally available version of the Services.

Promotional programs, including the PromptCrew Founder’s Program, may be subject to additional eligibility requirements, duration limits, usage restrictions, or other terms communicated when access is provided.

19. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTCREW AND LEVELPOINT, LLC DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE;
  • ALL DEFECTS OR ERRORS WILL BE CORRECTED;
  • THE SERVICES WILL MEET YOUR PARTICULAR REQUIREMENTS;
  • INFORMATION OR CONTENT AVAILABLE THROUGH THE SERVICES WILL BE ACCURATE, COMPLETE, OR CURRENT;
  • AI OUTPUTS WILL BE ACCURATE, COMPLETE, UNIQUE, APPROPRIATE, OR SUITABLE FOR A PARTICULAR PURPOSE;
  • A CAPABILITY, PROMPT, SKILL, AGENT, WORKFLOW, OR OTHER CONTENT CREATED BY PROMPTCREW OR ANOTHER USER WILL PRODUCE A PARTICULAR RESULT; OR
  • THIRD-PARTY SERVICES, AI PROVIDERS, OR INTEGRATIONS WILL REMAIN AVAILABLE OR FUNCTION WITHOUT INTERRUPTION.

Artificial intelligence systems may generate inaccurate, incomplete, offensive, unexpected, or misleading outputs.

You are responsible for reviewing and evaluating AI-generated content before relying on or using it, particularly in situations involving consequential decisions.

PromptCrew is a technology platform and does not provide legal, medical, financial, accounting, employment, or other regulated professional advice.

You are responsible for determining whether your use of the Services and any resulting output is appropriate for your circumstances.

Some jurisdictions do not allow certain warranty disclaimers, so some of the disclaimers above may not apply to you.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROMPTCREW, LEVELPOINT, LLC, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.

THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH A CLAIM IS BASED AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF PROMPTCREW AND LEVELPOINT, LLC ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNTS YOU PAID TO PROMPTCREW FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. ONE HUNDRED U.S. DOLLARS ($100).

These limitations are intended to apply to the fullest extent permitted by law.

Some jurisdictions do not allow certain limitations or exclusions of liability, so some of the limitations above may not apply to you.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless LevelPoint, LLC, PromptCrew, and their affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your Customer Content;
  • Content you publish or share through community or collaborative features;
  • Your use or misuse of the Services;
  • Your violation of these Terms;
  • Your violation of applicable law;
  • Your infringement or misappropriation of intellectual property, privacy, confidentiality, or other rights of a third party; or
  • Your use of AI-generated output or other content obtained through the Services.

If you use PromptCrew on behalf of an organization, this obligation may also apply to claims arising from Customer Content or activities submitted or performed through that organization’s account, subject to any separate written agreement between that organization and PromptCrew.

PromptCrew reserves the right to assume control of the defense of a claim subject to indemnification. You agree to reasonably cooperate with us in defending such claims.

You may not settle a claim in a manner that imposes liability, obligations, or admissions on PromptCrew without our prior written consent.

22. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Services will be governed by the laws of the State of California, without regard to its conflict-of-law principles, except to the extent that applicable law requires otherwise.

Subject to any rights that cannot lawfully be waived, you and PromptCrew agree that disputes arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Los Angeles County, California, and each party consents to the personal jurisdiction of those courts.

Nothing in these Terms prevents either party from seeking appropriate injunctive or equitable relief where permitted by law.

If you are a consumer and applicable law provides you with mandatory protections or the right to bring a claim in another jurisdiction, these Terms do not eliminate rights that cannot lawfully be waived.

23. Export Controls and Sanctions

You may not access or use the Services in violation of United States export control, trade, or economic sanctions laws or other applicable trade restrictions.

You represent that you are not prohibited from receiving the Services under applicable United States laws.

You may not use the Services for the benefit of a person, organization, country, or territory where such use would violate applicable sanctions or export-control requirements.

24. Changes to the Services

PromptCrew is continually evolving.

We may modify, add, remove, suspend, or discontinue features or portions of the Services from time to time.

We may also establish or modify usage limits, storage limits, model availability, feature availability, or other technical or operational restrictions.

Where reasonably practicable, we may provide notice before making a material change that significantly reduces the core functionality of a paid Service.

We are not responsible for changes to third-party products, integrations, APIs, AI models, or services that affect functionality available through PromptCrew.

25. Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services, our business, applicable law, or our practices.

When we update the Terms, we will revise the Effective Date at the top of the Terms.

If we make material changes, we may provide additional notice through the Services, by email, or through another reasonable method.

Unless otherwise stated, updated Terms will become effective when posted or on the effective date identified in the updated Terms.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

If you do not agree with an updated version of the Terms, you must stop using the Services.

26. Electronic Communications

By creating an account or using the Services, you agree that we may provide agreements, notices, disclosures, and other communications electronically, including through email, the Services, or our website.

Electronic communications satisfy any legal requirement that such communications be provided in writing to the extent permitted by applicable law.

You are responsible for maintaining an accurate and current email address associated with your account.

Marketing communications are subject to the choices and opt-out mechanisms described in our Privacy Policy.

27. Assignment

You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent.

PromptCrew may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, or similar transaction, or to an affiliate or successor.

Any attempted assignment prohibited by this section is void to the extent permitted by law.

28. Force Majeure

PromptCrew will not be responsible for delays, failures, interruptions, or losses caused by events beyond our reasonable control.

Such events may include natural disasters, fires, floods, severe weather, war, terrorism, civil unrest, labor disruptions, internet or telecommunications failures, power failures, cyberattacks, government actions, failures of cloud infrastructure, failures of third-party services, or interruptions affecting AI providers.

29. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

To the extent permitted by law, an invalid or unenforceable provision will be modified only to the minimum extent necessary to make it enforceable while preserving its intended effect.

30. Waiver

Our failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.

A waiver will be effective only if made in writing by an authorized representative of PromptCrew.

31. No Third-Party Beneficiaries

Except where expressly stated otherwise, these Terms do not create rights or benefits enforceable by any third party.

32. Entire Agreement
